These Terms and Conditions ("Terms") govern your access to and use of the website located at www.smingle.in (the "Website"), the Smingle mobile application (the "App"), and any related services, including event ticketing, offered by Smingle Labs Private Limited ("Smingle," "Company," "We," "Us," or "Our"). By accessing or using any part of the Website, App, or services, you ("User," "You," or "Your") agree to be bound by these Terms. If you do not agree, please do not use the Website, App, or services.

1. Scope

These Terms apply to all visitors, users, and customers who access the Website or purchase tickets through it. Use of the Smingle mobile application is additionally governed by our End User License Agreement (EULA). In the event of any conflict between these Terms and the EULA in respect of the App, the EULA shall prevail for matters specific to App usage.

2. Eligibility

You must be at least 18 years of age to create an account, purchase a ticket, or otherwise transact on the Website. By using the services, you represent and warrant that you meet this requirement and that all information you provide is accurate, current, and complete.

3. Description of Services

Smingle operates a curated meet-up platform that includes:

  • The Smingle mobile application, which enables users to match with and meet other verified individuals.
  • Periodic in-person events (such as the Smingle Sundowner) for which tickets are sold through the Website.
  • Related content, communications, and customer support.

We reserve the right to add, modify, suspend, or discontinue any portion of the services at any time without notice.

4. Account Registration

Certain services require you to register an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

5. Event Tickets

5.1 Purchase

When you purchase a ticket through the Website, you are entering into a contract with Smingle for entry to the specified event. The price, tier inclusions, date, time, and venue applicable to your purchase are those displayed on the event page at the time of purchase.

5.2 Pricing and Payment

All prices are listed in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise. Payment is processed through Razorpay, a third-party payment gateway. By submitting payment information, you authorize the gateway to charge the relevant amount to your selected payment instrument.

5.3 Delivery

Tickets are delivered electronically. Please see our Shipping and Exchange Policy for details on how and when tickets are delivered.

5.4 Cancellation and Refunds

All ticket sales are final. Please review our Cancellation and Refund Policy before completing your purchase.

5.5 Entry and Conduct

Admission to any event is subject to verification of identity and the terms displayed at the venue. Smingle reserves the right to refuse entry to, or remove from the venue, any person who is intoxicated, behaves abusively, fails to comply with venue or safety instructions, or whose conduct is otherwise deemed inappropriate. No refund will be issued in such cases.

5.6 Capacity and Changes

Events are capacity-limited. In the event that Smingle is required to cancel, postpone, or materially change an event (including a change of venue or date), we will notify ticket holders by email and process refunds in accordance with our Cancellation and Refund Policy.

6. Acceptable Use

You agree not to:

  • Use the Website or services for any unlawful purpose or in violation of any applicable law or regulation.
  • Resell or attempt to resell tickets for commercial gain without our prior written consent.
  • Impersonate any person or misrepresent your affiliation with any person or entity.
  • Interfere with, disrupt, or circumvent any security measure of the Website or services.
  • Harass, abuse, threaten, or harm any other user or any Smingle representative.
  • Use automated means (including bots, scrapers, or scripts) to access the Website or purchase tickets.

7. Intellectual Property

All content on the Website and App, including text, graphics, logos, images, audio, video, and software, is the property of Smingle or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, publish, display, or create derivative works from any such content without our prior written consent.

8. Third-Party Services

The Website integrates with third-party services, including Razorpay for payment processing and analytics providers for usage measurement. Your use of these services is governed by the respective providers' terms and privacy policies. Smingle is not responsible for the acts or omissions of any third-party service provider.

9. Privacy

Your use of the Website and services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

10. Disclaimer of Warranties

The Website, App, and services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Smingle disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or free from harmful components.

11. Limitation of Liability

To the maximum extent permitted by law, Smingle and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Website, App, or services. Our total aggregate liability for any direct damages shall not exceed the amount actually paid by you to Smingle in the three (3) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Smingle Labs Private Limited and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your breach of these Terms, your misuse of the services, or your violation of any law or third-party right.

13. Changes to These Terms

We may revise these Terms at any time by updating this page. Material changes will be brought to your attention through the Website or by email where appropriate. Continued use of the Website or services after a revision constitutes your acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. All disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.
